PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS ALTEREDUX INC. WEB SITE, DOWNLOADING, INSTALLING OR USING OUR MOBILE APPLICATION. BY ACCESSING, REGISTERING OR USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING THE DISCLAIMERS SET FORTH BELOW AND THE PRIVACY POLICY. IF YOU ARE NOT WILLING TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING THE DISCLAIMERS, EXPERT AGREEMENT AND PRIVACY POLICY, YOU MAY NOT ACCESS OR USE THIS SITE OR DOWNLOD OUR MOBILE APPLICATION.

The alteredux.com/ alterdux.io website (the “Site”) and the AltereduXR. mobile application (the “Mobile Application”) (collectively, “Service”) is provided to You by Alterdux Inc., 9485 St-Denis, Montreal, QC, Canada, H2M1P3, including any of its related, affiliated and/or subsidiary companies.

CHANGES TO TERMS OF SERVICE 

WE RESERVE THE RIGHT, AT OUR DISCRETION, TO MODIFY, ADD, OR REMOVE PORTIONS OF THESE TERMS OF SERVICE AT ANY TIME AND EACH SUCH CHANGE SHALL BE EFFECTIVE IMMEDIATELY UPON POSTING. PLEASE CHECK THESE TERMS OF SERVICE PERIODICALLY FOR CHANGES. YOUR CONTINUED USE OF THIS SITE FOLLOWING THE POSTING OF CHANGES TO THESE TERMS OF SERVICE WILL MEAN YOU ACCEPT THOSE CHANGES.

RESTRICTED ACTIVITIES

You agree not to use the Service to: (a) violate or encourage the violation of any local, state, national, or international law; (b) stalk, harass, or harm another individual; (c) collect or store personal data about other users of our Service; (d) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; (e) interfere with or disrupt the Services or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service. You agree not to use the Service to send any message that is unlawful, libelous, defamatory, abusive, sexually explicit, threatening, vulgar, obscene, profane, racially offensive, or otherwise objectionable, as determined by Alteredux in its sole discretion.

Without our written consent, you may not: (i) reproduce, duplicate, copy, sell, resell, or exploit for any commercial purpose, any portion of the Service, use of the Service, or access to the Service; (ii) allow, enable, or otherwise support the transmission of mass unsolicited, commercial advertising or solicitations via e-mail (spam); (iii) use any high volume, automated, or electronic means (including without limitation robots, spiders, scripts, or other automated device) to access the Service or monitor or copy our web pages or the content contained thereon; (iv) deep link to the Service for any purpose; or (d) frame the Service, place pop-up windows over its pages, or otherwise affect the display of its pages.

ELIGIBILITY

You must be 18 or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to register with us or use the Service and the Services. If you are between the ages of 13 and 18 or the applicable legal age in your jurisdiction, you can use the Services only in conjunction with, and under the supervision of, your parent or guardian who has agreed to the Terms of Service. If you are under the age of 13, you may not use the Services. If you are the parent or legal guardian of a child under the age of 18, you may use the Services on behalf of such minor child. By using the Services on behalf of a minor child, you represent and warrant that you are the parent or legal guardian of such child. If you do not qualify under these terms, do not use the Services. Membership in the Services is void where prohibited by applicable law, and the right to access the Service is revoked in such jurisdictions. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Service and to abide by all of the Terms of Service set forth herein.

ITS ONLY VENUE AND NO DOCTOR PATIENT RELATIONSHIP

You are responsible for your acts and omissions and content placed on the Service. Alteredux Service is only a venue to connect users to Professionals who are specialized in the fields of tele-education, teleconsultation and teletherapy around the world.   Alteredux, offers a virtual environment, using video conferencing and virtual reality to conduct all kinds of mental and physical therapy, psychological examination, personalized, individual or group and subgroup courses.  Alteredux , provides Professionals with flexible virtual reality environments so that professionals can offer their services; help, educational or re-educational relationship, consultation, mediation or presentation, in environments adapted to the needs of their clients.  In addition, Alteredux offers the use of its digital currency to reduce customer and transaction costs. Blockchain technology will also be used for the purpose of encrypting user data, authentication and escrow smart contract  Professionals, in the event that you have any dispute with other user, you release Alteredux (and our parents, subsidiaries, officers, directors, shareholders, employees, agents, joint ventures, consultants, successors and assigns) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

It is only for general, educational and informational purposes only and should not be considered as a substitute for patient-specific medical diagnosis and treatment or construed, directly or indirectly as the practice of medicine or dispensing of medical services by us.

NO LICENSED MEDICAL PROFESSIONAL/PATIENT RELATIONSHIP IS CREATED BY USING INFORMATION PROVIDED BY OR THROUGH THE USE OF THE SERVICE, LINKS TO OTHER SITES OR ANY ASSISTANCE WE MAY ATTEMPT TO PROVIDE TO HELP YOU FIND AN APPROPRIATE PROFESSIONAL OR SPECIALIST IN ANY FIELD.

We only support the health decisions and choices that you make. These decisions and choices are yours, and we believe that you, in connection with the advice you receive from your Professionals or other healthcare provider, are the best decision maker about your health. We cannot make decisions for you. We only help you to find good health information and connect with Professionals. On our Service you can ask and find informational questions and related educational answers by Professionals. The Service is not a place for the practice of medicine, but Professionals on Service can be a resource for reliable, relevant general health information.

Even if your real life doctor is on our Service, personal medical advice, treatment or diagnosis are not permitted through our Service, and by using our Service you agree not to solicit these or use any information as if it were personal advice, treatment, or diagnosis. This applies both to public interactions on our Service as well as to paid consultations. If you want personal medical advice, treatment, or diagnosis, you should contact your psychiatrist/therapist or professional healthcare provider and see them in person.

ABOUT PROFESSIONALS

Only licensed Professionals may become members of this Service. If your (Professional) license has been suspended or revoked, for any reason, you shall not participate or use the Service in any way, including but not limited to submitting Content to Alteredux.

Only a pen name of Professionals is used on Service and their real name of Professionals is not used on the Service. Pictures of Professionals will be only representative and not actual.

Professionals warrants and agrees:

•           to abide by the guidelines of Alteredux.

•           not to divulge any personal details of users to anyone and shall be responsible for maintaining the confidentiality of the users.

•           No specific diagnosis or drugs will be recommended or provided to the users in his answers on Alteredux.

•           that he/she shall not keep a record of conversations by any means with the user.

•           to ensure smooth functioning of process on Alteredux by having adequate Internet and Power supply.

•           Professionals shall take all the responsibility to handle the dispute if any between himself/herself and users of Alteredux.

•           He / she shall be unambiguous in answering the calls & providing the answers to users.

•           shall inform in advance to Alteredux about his/her absence on Alteredux.

•           he/she will provide information and advice only about non-emergency matters and for emergency matters will instruct the user to immediately call their local emergency assistance number.

MEDICAL DISCLAIMER

All information on the Service is of a general nature. No information contained on the Service or in any e-mail sent to you by Alteredux is to be taken as medical or other health advice pertaining to any individual as specific health or medical condition. Although we make an effort to provide quality information to you, Alteredux disclaims any implied guarantee regarding the accuracy, completeness, timeliness, or relevance of any Service. The Service is not a diagnosis, treatment plan, or recommendation for a particular course of action regarding your health and is not intended to provide specific medical advice. It remains your responsibility to evaluate the accuracy, completeness, and usefulness of all Services.

Alteredux is not engaged in rendering medical or professional services. The Service is not substitute for the diagnosis and advice of your health care professional and the Service must not be used in place of such diagnosis and advice. Do not delay seeking the diagnosis and advice of your health care professional because of anything you may have read or interpreted in the Service content. Consult your health care professional before practicing any recommendations or acting on any Service content. The Service is not to be interpreted as advocating the self-management of your medical condition(s) or those of your family.

YOU ACKNOWLEDGE THAT ALTEREDUX IS NOT ENGAGED IN THE PRACTICE OF MEDICINE AND THAT ALL DECISIONS MADE USING THE SERVICE WILL BE THE EXCLUSIVE RESPONSIBILITY OF YOU. ALTEREDUX EXPRESSLY DISCLAIMS ANY RESPONSIBILITY OR LIABILITY FOR ANY ADVERSE CONSEQUENCES OR DAMAGES RESULTING FROM YOUR RELIANCE ON THE SERVICE CONTENT. You agree, at your expense, to indemnify and hold Alteredux harmless from any and all losses, liabilities, or damages resulting from any and all claims, causes of action, suits, proceedings, or demands against Alteredux arising from or related to decisions or recommendations you make using the Service.

DISCLOSURE OF MEDICAL INFORMATION

The Alteredux takes seriously the privacy of your medical records and personal information. Accordingly, we have taken all reasonable restrictions necessary to protect your confidentiality in accordance with all applicable laws.

You authorize the Alteredux and its respective therapists, psychologists, employees, contractors, business associates and/or agents to access, review, research, analyze, discuss and copy your medical and personal information as may be necessary to provide Services. The use of your medical information will not exceed this stated purpose, unless and until you authorize and direct such additional disclosure(s).

Your Profile consisting record of your consultations and your personal health information online, including history, health conditions, allergies and medications is stored on our Service. This Profile includes:

Any information provided as part of a web, over-phone or a video consultation. You agree to provide accurate information, to regularly review and update such information whenever necessary.

We reserve the right to maintain, delete or destroy all communications and materials posted or uploaded to the Service at our sole discretion.

You might be contacted via email to review the information provided by you. You agree to provide a valid email-id and you update it whenever necessary.

CONSULTATION BY PROFESSIONALS

The answers and opinions (collectively “consultation”) provided by the Professionals via our Service are solely the individual and independent opinions and statements of such Professionals and are not the opinions of Alteredux., its affiliates or any other organizations or institutions to which such Professionals or such specialist or professional is affiliated or provides services. We do not recommend or endorse any specific tests, Professionals, therapists, psychologists, products, procedures, opinions, or other information that may be mentioned on our Service or by a licensee of Alteredux.com.

The inclusion of professionals and specialists on our Service does not imply recommendation or endorsement of such professional nor is such information intended as a tool for verifying the credentials, qualifications, or abilities of any professional contained therein. Such information is provided on an "as-is" basis and we disclaim all warranties, either express or implied, including but not limited to the implied warranties of merchantability and fitness for particular purpose.

INFORMED CONSENT

There are potential risks associated with our services. By using our Service, you consent to the risks described below. These risks include, but may not be limited to:

We make an honest attempt to provide access to the best possible medical information to you, the Professionals will not be examining you physically. Professionals of Service may not have access to your complete medical history. Professionals of Service will not have the benefit of information that would be obtained by examining you in person. Hence, the service provided through Service is different from the diagnostic and treatment by a personal psychiatrist/therapist. Therefore, the psychiatrist/therapist may not be aware of facts or information that would affect his or her opinion of your diagnosis. To reduce this risk of this limitation, we encourage you to consult your psychiatrist/therapist. By using our services, you acknowledge and agree that you are aware of these risks, limitations and agree to assume the entire risk of these limitations.

By requesting a medical opinion through Service, you acknowledge and agree that:

The advice/information/opinion on Service through Service Professionals could be limited and provisional;

The opinion by Service Professionals’ is not intended to replace a face-to-face visit with a psychiatrist/therapist.

It is your discretion to share our Professionals’ opinion with your psychiatrist/therapist or to go for another physical exam (if needed) or to visit Service Professionals’ for offline consultation, or procedure, and/or treatment;

Service Professionals’ rely on information provided by you and hence any information demonstrated to have been falsified will immediately render the opinion and all details therein null and void;

The Service Professionals’ may determine that the transmitted information is of inadequate quality and may ask for more information, without which he/she may refuse to answer the query;

In some cases, the Service Professionals’ may feel that the query may not be answerable without physically examining the patient and the further advice may be refused forthwith;

In rare instances, security protocols could fail, causing a breach of privacy of personal medical information;

In rare cases, a lack of access to complete medical records may result in adverse drug interactions or allergic reactions or other judgment errors;

Delays in medical evaluation and answers could occur due to deficiencies or failures of the service.

Telemedicine involves the use of electronic communications to enable healthcare providers at different locations to share individual patient medical information for the purpose of improving patient care. Providers may include primary care practitioners, specialists, and/or subspecialists. The information may be used for diagnosis, therapy, follow-up and/or education, and may include any of the following:

Output data from medical devices and sound and video files

Electronic systems used will incorporate network and software security protocols to protect the confidentiality of patient identification and imaging data and will include measures to safeguard the data and to ensure its integrity against intentional or unintentional corruption.

YOU EXPRESSLY AGREE THAT USE OF THE SERVICE OR MOBILE APPLICATION IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALTEREDUX EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE OR PURPOSE, TITLE, AND NON-INFRINGEMENT WITH RESPECT TO THE SERVICE OR THE ALTEREDUX.COM OR MOBILE APPLICATION CONTENT.

ALTEREDUX  MAKES NO WARRANTY THAT THE SERVICES PROVIDED ON THE SERVICE OR MOBILE APPLICATION WILL MEET YOUR REQUIREMENTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; NOR DOES ALTEREDUX  MAKE ANY WARRANTY AS TO THE ACCURACY OR RELIABILITY OF THE ALTEREDUX.COM CONTENT OR THAT DEFECTS IN THE SERVICE OR THE ALTEREDUX.COM CONTENT WILL BE CORRECTED. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE OR MOBILE APPLICATION IS DONE AT YOUR OWN DISCRETION AND RISK.

LIMITATION OF LIABILITY

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT WILL ALTEREDUX  OR ITS OFFICERS, EMPLOYEES, DIRECTORS, AFFILIATES, PARTNERS, AGENTS, ADVISORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF REVENUES, PROFITS, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTIES WERE ADVISED OF, KNEW OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY), ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THE ALTEREDUX.COM CONTENT OR THE MOBILE APPLICATION, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, WARRANTY, STATUTE OR OTHERWISE. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE OR MOBILE APPLICATION.

Alteredux and third-party Professionals who offer services through the Service or Mobile Application accept no responsibility for any medical, legal or financial events or outcomes related to services achieved through the use of the Service or Mobile Application.

Alteredux.com does not guarantee that a web-based consultation, over-phone consultation or video consultation is the appropriate course of treatment for your particular health problem. You agree to contact your primary care psychiatrist/therapist immediately should your condition change or your symptoms worsen. If you require urgent care, you agree to contact your local emergency services immediately. The Services are offered on an "as is" and “as available” basis and used by you solely at your own risk.

The aggregate liability of Alteredux to you for all claims arising from or related to the Service or the Alteredux.com or Mobile Application Content is limited to the lesser of the fees paid by you to Alteredux for services provided on the Service.

You acknowledge and agree that our Service or our psychiatrist/therapist’s opinion or advice should not in any form, shape or fashion constitute a diagnosis, medical advice, treatment, medical care or establish any Professionals-patient relationship.

 

EXCLUSIONS & LIMITATIONS

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability shall be the minimum permitted under such applicable law.

SUBMITTED CONTENT

You may submit feedback regarding your experiences with Professionals on our Service or Mobile Application, submit inquiries concerning possible medical needs and to participate in the other interactive and community features of the Service (collectively "Submitted Content"). It is important that you act responsibly when providing Submitted Content. In providing feedback, please give clear, honest information about the Professionals and your experiences, but do not use inappropriate language, make gratuitous personal criticisms or comments or provide information that others could use to determine your identity. When participating in other interactive or community aspects of the Service, please do not post any information that another user or psychiatrist/therapist may use to identify you as an individual, but please do include all relevant information in a concise manner to help us provide you with a helpful response.

You acknowledge and agree that by submitting the Submitted Content to us, you (i) grant us a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform the Submitted Content throughout the world in any media, now known or hereafter created without attribution, (ii) grant us the right to pursue at law any person or entity that violates Your and/or our rights in Your Submitted Content, and (iii) forever waive any and all of Your rights, including but not limited to moral rights, if any, in and to Your Submitted Content, including, without limitation, any all rights or requirements of attribution or identification of You as the author of the Submitted Content or any derivative thereof. You further acknowledge and agree that Your Submitted Content is non-confidential and do not contain proprietary information.

Except as described in our Privacy Policy (here give a link to your privacy policy), We will not be required to treat any of Your Submitted Content as confidential, and you acknowledge and agree that we may use in connection with our business any of the concepts and ideas contained in Submitted Content without compensation to you and we will not incur any liability to You as a result of any similarities between concepts and ideas contained in Submitted Content and our future operations and business. Except as otherwise set forth in this Terms of Service, we will be entitled to use the Submitted Content for any commercial or other purpose whatsoever without compensation to You or any other person.

Submitted Content, including personally identifiable information contained therein, are made voluntarily and are subject to the Privacy Policy. You are responsible for Submitted Content and agree to defend us, indemnify and hold us harmless from any damages, losses, costs, or expenses, including reasonable attorneys’ fees, which we may incur as a result of Submitted Content.

With respect to Submitted Content, you acknowledge, warrant and agree that:

If Submitted Content concern Professionals/therapists, psychologists, Submitted Content will be true and accurate, only concern or relate to the care or service that You, Your minor child or Your ward received from the Professionals being reviewed, that You are not related to or employed by the Professionals being reviewed and that You are not impersonating any other person;

If You are a Professionals submitting or editing any Submitted Content, Your Submitted Content will be true and accurate, You are the Professionals specifically identified in the Content being submitted or edited, and Your Submissions will only concern You and the services that You provide.

If You are a person authorized by a Professionals to submit or edit Submitted Content specifically related to that Professionals, Submitted Content will be true and accurate, You are authorized by the Professionals identified in the Submitted Content or edited to make such edits and Submitted Content will only concern that Professionals and the services provided by that Professionals.

You have the right to make Submitted Content without violating the copyright, trademark, patent or other intellectual property rights of any person or entity, and Submitted Content will not contain any content, personally identifiable information (other than the name of the Professionals being reviewed), information, or materials of any kind that relates or refers to any other person or entity other than the person or entity being reviewed;

Submitted Content will not violate any law, or in any manner infringe or interfere with the rights of others, including but not limited to the use of names, information, or materials that (i) libel, defame, or invade the privacy of any third party, (ii) are obscene or pornographic, (iii) harmful, threatening, offensive, abusive, harassing, vulgar, false or inaccurate, racially, sexually, ethnically or are otherwise objectionable or otherwise contrary to the laws of any place where such Submissions may be accessed, (iv) constitute personal attacks on other individuals, (v) infringe the intellectual property, trade secret or proprietary rights of any third party, (vi) promote criminal or other illegal activity, (vii) promote or advertise any person, product or service or solicit funds, or (viii) are deemed confidential by any contract or policy.

You are permitted to post only one Submitted Content regarding the same Professionals, entity, procedure or subject during any thirty day period.

We reserve the right to publish your Submitted Content as part of the Service and to also to remove your Submitted Content for any reason. We are not, however, responsible for any failure or delay in removing Submitted Content.

We do not provide the Submitted Content on the Service. It is users of the Service provide Content on the Service. The Professionals determine which questions to answer; they are not employees or agents of Alteredux but are independent service providers using the Service to provide their Expert knowledge to users of Service.

We are not involved in any conversations between users and does not refer you to or endorse or recommend particular Professionals. You understand and acknowledge that we cannot and do not edit, modify, filter, screen, monitor, endorse or guarantee the content on Service. We shall not be liable for any acts or omissions of Professionals, Content, the ability of Professionals to answer questions or the ability of patients to pay for answers. We do not ensure that users will complete a transaction.

NO RELATIONSHIP WITH USERS

Placement of information, logos, links or names of Professionals or any other third party entities on the Service does not constitute an endorsement or warranty of their services or opinions or their products. You take full responsibility for a decision to visit or patronize any such entity and hold Alteredux harmless from any liability arising from such actions. You further acknowledge that no relationship (such as partnership, agent, joint venturer, or employee) is created between you and Alteredux or between any User including Professionals or any other third party entities and Alteredux by formation of this Agreement or by your participation on the Service.

We do not control the information provided by Professionals or any other third party entities or users, which you may find to be offensive, harmful, inaccurate, or deceptive.

YOU ARE RESPONSIBILE TO EVALUATE THE ACCURACY, COMPLETENESS AND USEFULNESS OF ANY OPINION, ANSWER OR OTHER CONTENT AVAILABLE THROUGH THE SERVICE, FROM THIRD PARTIES OR OBTAINED FROM A LINKED SERVICE. PLEASE SEEK THE ADVICE OF PROFESSIONALS, AS APPROPRIATE, REGARDING THE EVALUATION OF ANY SPECIFIC OPINION, ANSWER, PRODUCT, SERVICE, OR OTHER CONTENT.

PERSONAL INFORMATION

To register with us, you must provide certain personal and medical information about yourself. You may voluntarily submit, and hereby authorize us, Professionals/therapists, psychiatrists, employees, agents and others operating on our behalf, to use and/or disclose personal and health-related information about you, including, without limitation, your name, address, social security number and contact information; medical and social history; current medical needs; and other information that is either requested by us or volunteered by you ("Personal Information"). You have the right to refuse to authorize the use and/or disclosure of your Personal Information. However, if you chose to exercise this right, you may not be able to utilize some features of the Service.

FEES

You acknowledge that you or any authorized individual acting on your behalf and who is requesting our Services is responsible for all fees charged by Alteredux for the Services hereunder. You understand that you or your authorized agent must pay these fees in advance, and that it is your responsibility to pursue any third-party insurance reimbursement at your own expense, if any.

You will be permitted to ask five questions in your first session for the fees paid. If you want more questions to be answered by Professionals, you agree to pay additional fee for each additional five questions. Once you have cash in your account, you will have access to third party exchanges. They allow you to convert your cash into cryptocurrency into cash and then transfer it to your wallet or bank account. Alteredux is not responsible for any exchanges done through third party exchanges.

CRYPTOCURRENCY DISCLAIMER

You are solely responsible for compliance with all laws that may apply to your particular use of the Alteredux. Cryptocurrencies and blockchain technologies have been the subject of scrutiny by various regulatory bodies around the world. Alteredux makes no representation regarding the application of any laws, including but by no means limited to those relating to cryptocurrency exchange. Indeed, depending on the jurisdiction and the contemplated use of the Alteredux, that use may be illegal. You agree that Alteredux is not responsible for determining whether or which laws may apply to your use of the Alteredux. Users must examine their own circumstances in the context of the rules and laws of their specific jurisdiction as it may be possible to modify the Alteredux under the terms of the applicable open source license to effectuate your compliance with any applicable rules and laws.

 

REFUNDS

For Pay-Per-Question Services, if are not satisfied with your experience on Alteredux for any reason and you do not provide star rating of 3, 4, or 5, then within thirty (30) days of when you paid to ask your question on Service, as your sole remedy, you may request a refund by email at support@alteredux.com. If you have provided a star rating of 3, 4, or 5 or more than thirty (30) days have passed since your payment, you will not be entitled to a refund.

If we believe, in our sole discretion, that any funds were earned under suspicious circumstances or that funds were derived from a suspect account, we will continue to investigate the situation until an adequate resolution has been reached, as determined by us, and which may require the involvement of certain third parties, including any applicable credit card Alteredux. We will make commercially reasonable efforts not to exceed a ninety-day (90) hold on your account as we and/or a third-party investigate.

You acknowledge that Alteredux, its licensors and suppliers own the rights to the Alteredux Service and the content displayed on the Service except your Submitted Content or your medical records. You shall not modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Alteredux Service, or assist any other person or entity in doing so. You acknowledge that all content, including but not limited to text, software, music, sound, photographs, video, graphics or other material contained in listings, sponsor advertisements or email-distributed, commercially produced information presented to you by the Service, by Alteredux, Alteredux users, or Alteredux advertisers or other content providers, is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Terminations will be effective within 7 business days after our receipt of your termination notice, at which time your account will be closed and you will no longer enjoy access to your former account.

Alteredux, offers a virtual environment, using video conferencing and virtual reality to conduct all kinds of mental and physical therapy, psychological examination, personalized, individual or group and subgroup courses.  Alteredux, provides Professionals with flexible virtual reality environments so that professionals can offer their services; help, educational or re-educational relationship, consultation, mediation or presentation, in environments adapted to the needs of their clients.  In addition, Alteredux offers the use of its digital currency to reduce customer and transaction costs. Blockchain technology will also be used for the purpose of encrypting user data, authentication and escrow smart contract  Professionals, in the event that you have any dispute with other user, you release Alteredux (and our parents, subsidiaries, officers, directors, shareholders, employees, agents, joint ventures, consultants, successors and assigns) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

Thereafter, we retain the Subscribers records in an anonymized format for as long as the information is needed for our research, statistical analysis or Service development.

 

How We Protect Personal Information

Security – We follow generally accepted industry standards such as GDPR to protect personal information, during transmission and once we receive it. We use administrative, physical, and technical measures designed to protect it from unauthorized access, loss, misuse, disclosure, alteration or destruction.

 

Encryption - Any data collected by Alteredux for the purposes of assessments and to provide its Services is protected by encryption. This means we keep data in an unreadable state unless a user or process presents the appropriate key. Our data is encrypted at rest and in transit. Encryption prevents unauthorized data manipulation; limits data access to authorized users and monitors key usage to ensure that the data cannot be changed without authorization. AML/KYC Policy

Introduction

        Alteredux Inc., Anti-Money Laundering and Know Your Customer Policy (hereinafter - the “AML/KYC Policy”) is designated to prevent and mitigate possible risks of Alteredux Inc., being involved in any kind of illegal activity.

 

        Both international and local regulations require Alteredux Inc. to implement effective internal procedures and mechanisms to prevent money laundering, terrorist financing, drug and human trafficking, proliferation of weapons of mass destruction, corruption and bribery and to take action in case of any form of suspicious activity from its Users.

 

AML/KYC Policy covers the following matters:

 

Verification procedures.

Compliance Officer.

Monitoring Transactions.

Risk Assessment.

1. Verification procedures

One of the international standards for preventing illegal activity is customer due diligence (“CDD”). According to CDD, Alteredux Inc., establishes its own verification procedures within the standards of anti-money laundering and “Know Your Customer” frameworks.

 

1.1. Identity verification

Alteredux Inc. identity verification procedure requires the User to provide Alteredux Inc. with reliable, independent source documents, data or information (e.g., national ID, international passport, bank statement, utility bill). For such purposes Alteredux Inc., reserves the right to collect User’s identification information for the AML/KYC Policy purposes.

 

Alteredux Inc. will take steps to confirm the authenticity of documents and information provided by the Users. All legal methods for double-checking identification information will be used and Alteredux Inc., reserves the right to investigate certain Users who have been determined to be risky or suspicious.

 

Alteredux Inc. reserves the right to verify User’s identity in an on-going basis, especially when their identification information has been changed or their activity seemed to be suspicious (unusual for the particular User). In addition, Alteredux Inc. reserves the right to request up-to-date documents from the Users, even though they have passed identity verification in the past.

 

User’s identification information will be collected, stored, shared and protected strictly in accordance with the Alteredux Inc's., Privacy Policy and related regulations.

 

Once the User’s identity has been verified, Alteredux Inc., is able to remove itself from potential legal liability in a situation where its Services are used to conduct illegal activity.

 

1.2. Card verification

The Users who are intended to use payment cards in connection with the Alteredux Inc’s., Services have to pass card verification in accordance with instructions available on the Alteredux Inc's., Site.

 

2. Compliance Officer

The Compliance Officer is the person, duly authorized by Alteredux Inc., whose duty is to ensure the effective implementation and enforcement of the AML/KYC Policy. It is the Compliance Officer’s responsibility to supervise all aspects of Alteredux Inc’s., anti-money laundering and counter-terrorist financing, including but not limited to:

 

a. Collecting Users’ identification information. b. Establishing and updating internal policies and procedures for the completion, review, submission and retention of all reports and records required under the applicable laws and regulations. c. Monitoring transactions and investigating any significant deviations from normal activity. d. Implementing a records management system for appropriate storage and retrieval of documents, files, forms and logs. e. Updating risk assessment regularly. f. Providing law enforcement with information as required under the applicable laws and regulations.

 

The Compliance Officer is entitled to interact with law enforcement, which are involved in prevention of money laundering, terrorist financing and other illegal activity.

 

3. Monitoring Transactions

The Users are known not only by verifying their identity (who they are) but, more importantly, by analyzing their transactional patterns (what they do). Therefore, Alteredux Inc., relies on data analysis as a risk-assessment and suspicion detection tool. Alteredux Inc., performs a variety of compliance-related tasks, including capturing data, filtering, record-keeping, investigation management, and reporting. System functionalities include:

 

1) Daily check of Users against recognized “black lists” (e.g. OFAC), aggregating transfers by multiple data points, placing Users on watch and service denial lists, opening cases for investigation where needed, sending internal communications and filling out statutory reports, if applicable;

 

2) Case and document management.

With regard to the AML/KYC Policy, Alteredux Inc., will monitor all transactions and it reserves the right to:

ensure that transactions of suspicious nature are reported to the proper law enforcement through the Compliance Officer;

request the User to provide any additional information and documents in case of suspicious transactions;

suspend or terminate User’s Account when Alteredux Inc., has reasonably suspicion that such User engaged in illegal activity.

The above list is not exhaustive and the Compliance Officer will monitor Users’ transactions on a day-to-day basis in order to define whether such transactions are to be reported and treated as suspicious or are to be treated as bona fide.

 

4. Risk Assessment

Alteredux Inc., in line with the international requirements, has adopted a risk-based approach to combating money laundering and terrorist financing. By adopting a risk-based approach, Alteredux Inc., is able to ensure that measures to prevent or mitigate money laundering and terrorist financing are commensurate to the identified risks. This will allow resources to be allocated in the most efficient ways. The principle is that resources should be directed in accordance with priorities so that the greatest risks receive the highest attention.

Welcome to Alteredux! Please take the time to read and understand these Membership terms and conditions (Membership Terms). They govern your (your or you) use of the Alteredux service (Site) as a member.

Once you click “I agree”, you agree to the Membership Terms as a legally binding contract between you and Alteredux Incorporated. If you do not want to agree to these Membership Terms, we’re sorry to inform you that you cannot sign as a member.

In these Membership Terms, Content means all the content available on the Site including tutorials, courses, videos, eBooks, sample files and user forum content.

 

1. Payment Plan Agreement Contract

MONTHLY PAYMENT PLAN MEMBERSHIPS

Applies to memberships where payments are made every month during the duration of the membership term.

You understand and agree that you have committed to a contract. And you agree to membership fees payable by you at the rate offered at purchase time every month for a period of 12 months to access Alteredux’s site for a period of 1 year if you purchase any 1-year duration payment plan membership.

OR

You understand and agree that you have committed to a contract. And you agree to membership fees payable by you at rate offered at purchase time every month for a period of 6 months to access Alteredux’s special features for a period of 6 months if you purchase any 6 month duration payment plan membership.

FIXED PAYMENT PLAN MEMBERSHIPS

Applies to memberships where payments are made for the first 3 months of the membership term.

You understand and agree that you have committed to a contract. And you agree to membership fees payable by you at rate offered at purchase time every month for a period of 3 months to access Alteredux’s special features for a period of 1 year if you purchase any 1-year duration fixed payment plan membership.

Cancellation of MONTHLY PAYMENT PLAN

You understand that you are able cancel your membership in the first 30 days for a full refund – as per our 30-day Moneyback Guarantee. Please email support@alteredux.com to cancel.

You understand that should you cancel your membership outside of the first 30 days, you agree to pay a cancellation fee equal to the total value of 3 monthly payments or the remaining value of your contract and calculated as [remaining months] x [monthly payment], which ever is lesser. Any existing discounts will continue to apply.

Cancellation of FIXED PAYMENT PLAN

You understand that you are able cancel your membership in the first 30 days for a full refund – as per our 30-day Moneyback Guarantee. Please email support@alteredux.com to cancel.

You understand that should you cancel your membership outside of the first 30 days, you agree to pay a cancellation fee equal to the total value of 1 monthly payment.

YEARLY PAYMENT PLAN

You agree to pay the membership fees in full for access to Alteredux’s special features for a period of 1 year, 6 months, according to the plan you choose at time of purchase.

Cancellation YEARLY PAYMENT PLAN

You understand that you are able cancel your membership in the first 30 days for a full refund – as per our 30-day Moneyback Guarantee. Please email support@alteredux.com to cancel.

You understand that should you cancel your membership outside of the first 30 days, no refund will be provided.

2. Membership

If you are under 18 years, you need your legal guardian or parents’ permission before becoming a member and accessing the Sites.

Your Membership is non-transferable. You must not share your username and password with anyone else or allow anyone else to access the Sites using your username and password.

You are responsible for every use of the Sites that occurs in conjunction with use of your username and password. You must use reasonable efforts to keep your username and password confidential. You must notify us as soon as you become aware of any unauthorised use of your membership, username or password.

Membership is based on periodic subscription fees which are detailed on the Site’s sign up pages. Your membership, or access to Content and areas of the Sites, will be suspended or cancelled if we do not receive the fees for your subscription type.

You can ask for a refund of subscription fees under our “Moneyback Guarantee” policy, during the first 30 days of your subscription. You may also have rights granted to you by law which may entitle you to a refund of fees in specific circumstances. Apart from those things, refunds of subscription fees will not be made.

3. Availability and Use of the Sites

The Sites will usually be available 24 hours a day, seven days a week. We may, however, need to interrupt or suspend your access to the Site or the provision of the Site’s services and Content, for maintenance, technical or other reasons.

When accessing and using the Site and its services and Content, you must comply with directions, instructions or protocols posted on the Site.

We are pleased to be able to offer a wide range of exclusive Content on the Sites for your tele working, educational and learning needs, which we aim to regularly add to. The Content will be updated, changed or removed from time to time, at our discretion, so we can’t guarantee that specific Content will always be available on the Site.

4. Rights to Content; intellectual property

Each item of Content is copyright of its author. We own any Alteredux-contributed Content, and all other rights in the Site including its design, compilation and look and feel.

Your membership gives you a right (a revocable, non-exclusive licence) to use the Content for personal purposes. You must not redistribute Content (such as tutorials, eBooks, videos, courses and source files). Any project files, spreadsheets or other assets associated with Content are included to demonstrate the course or tutorial. You may use, modify and manipulate files for your own personal educational purposes, but you must not otherwise exploit the files and the assets in them, or redistribute the files or assets.

You may freely use the procedures and techniques demonstrated in the Content (that is, the knowledge you gain) for any commercial or personal purpose.

The trade marks and logos displayed on the Site are, unless otherwise stated, those of Plan Academy Inc. and others, and you must not use these without the approval of the relevant owner.

5. Fair use and prohibited conduct

You are permitted to download/upload Content to, or from your computer as part of your membership. But your membership is subject to a ‘fair use’ policy. Our ‘fair use’ policy requires that your use of the Site and the Content must be fair, genuine and reasonable. For example, the total amount of Content you download must be reasonable in light of your genuine, tele working, education and learning needs, and the time needed to genuinely engage with the Content. We will use our reasonable discretion to decide whether a member has complied with the ‘fair use’ policy. Users must respect the storage limit provided with their membership levels.

You must not use scripts to automatically mass download Content.

You also must not:

a. use a false email address, impersonate others, or misrepresent your affiliation with others;
b. insert advertising, branding or other promotional content into the Sites or Content;
c. attempt to gain unauthorised access to computer systems or materials through the Sites;
d. engage in automatic gathering of information from or through the Sites (such as “spidering”, “screen scraping”, “database scraping” or harvesting of e-mail addresses);
e. attempt to interrupt or alter the Site’s operation in any way (for example through sending mass unsolicited messages, “flooding” servers, or introducing a virus, time bomb, trojan horse, worm, cancelbot or other computer routine );
f. use the Sites or the Content in a way that violates applicable law, that violates third party intellectual property or other rights, or that is, fraudulent, obscene, offensive, or defamatory; or
g. except as allowed in these Membership Terms, copy, distribute, transmit, modify or otherwise exploit the Content or any other data or code made available through the Sites.

6. Intellectual property complaints

We respect the intellectual property rights of others, and require that you do the same.

Please contact us if you believe that your intellectual property or other rights are being affected by anything on the Site.

If you are specifically making a copyright-based claim regarding Content, please forward the following information to us:

a. your address, telephone number, and email address;
b. a description of the location of the alleged infringing material;
c. a description of the copyright work that has been allegedly infringed; and
d. a statement by you that you warrant that the information given in your claim is accurate and that you are either the copyright owner or are authorised to act on the copyright owner’s behalf.

7. Forum and community rules

Please read our Forum and Community rules, which are part of these Membership Terms and apply to content contributed to the Sites by members (such as comments, reviews and forum posts).

We reserve the right, but are not obliged, to monitor all matter posted to the Sites. We are not responsible or liable for material posted by others. We do, however, reserve the right to edit, refuse to post or to remove matter that in our discretion is objectionable or in violation of these Membership Terms, our policies or applicable law.

You must not upload or post any materials that:

a. restrict or inhibit others’ use or enjoyment of the Site;
b. are false, misleading, fraudulent, unlawful, abusive, harassing, defamatory, obscene, vulgar, or offensive;
c. infringe others’ rights, including privacy or intellectual property rights;
d. disclose personal information about others, particularly sensitive information;
e. contain a virus, spyware, or other harmful component; or
f. contain commercial solicitation or ‘spam’ of any kind.

8. Privacy

Our information collection and use of any personal information about you is set out in our Privacy Policy.

Personal information that you disclose may be used by Alteredux, its agents and contractors in relation to your membership and the Sites, including marketing activities for the Sites.

We may disclose any personal information as necessary to satisfy any law, regulation or government request.

9. Refusal, suspension or termination of membership

We may, in our discretion, immediately restrict, suspend or terminate your membership and access to the Sites if we consider you in breach of these Membership Terms, any other Sites rules, or applicable law.

We reserve the right to refuse membership in our discretion (examples include previous breaches of membership terms on any of our websites and previous utilisation of the Site’s “Moneyback Guarantee”).

10. Liability and disclaimer

Except as provided in an applicable Non-excludable Law, we are bound only by the express promises made in these Membership Terms and are not bound by implied terms.
Except as provided in an applicable Non-excludable Law:

a. we do not promise that the Content or your access to the Sites will be uninterrupted or error-free, that any defects will be corrected, or that the Sites or Content are free of viruses or any other harmful components; and
b. we make no promises regarding your access to, or the results of your access to, the Sites or Content in terms of correctness, accuracy, timeliness, completeness, reliability or otherwise.

Except as provided in an applicable Non-excludable Law, we and our affiliates are not liable for indirect, incidental, special or consequential damages, loss or revenue or loss of profits which result from any use of or access to, or any inability to use or access, the Site.

11. Changes to Membership Terms

We may change these Membership Terms from time to time, but we will notify members before doing so. You will be given the opportunity to cancel your subscription with a pro-rata refund (based on time remaining in your subscription) if you do not want to accept the changes. If you do not opt out in this way, your continued subscription to and use of the Sites will be an acceptance of the updated Membership Terms.

12. Applicable Laws

We control and operate the Sites from our offices in Canada. The laws of Canada govern these Membership Terms, and you and Alteredux submit to the jurisdiction of the courts there.
